These Terms of Service (the "Terms") are a legal agreement between you and Outlier Labs Inc. d/b/a Linq Up ("Outlier Labs," "Linq Up," "Linq," "we," "us," or "our"). These Terms govern your access to and use of Linq Up, including our mobile application, App Clip, website, SMS coordination experience, calendar coordination tools, and related services (collectively, the "Service").
By creating an account, opening an invitation, entering your phone number, connecting a calendar, sending or responding to an invitation, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Important: The Service is designed to help people coordinate specific social plans. It is not a marketing platform, bulk messaging tool, emergency service, professional advice service, transportation provider, reservation agent, or venue operator.
1. Definitions
- "Host" means a person who uses Linq Up to create or share an invitation to coordinate a plan.
- "Recipient" means a person who receives an invitation and opens the App Clip, website, or app experience to review or respond to that invitation.
- "Invitation" means a Host-initiated message or link shared through the Host's native share sheet, messaging app, email, or other channel selected by the Host.
- "Plan" means a specific proposed social event, including one or more of: person, time, place, activity, location, calendar availability, and related coordination details.
- "SMS Coordination" means non-marketing text messages from Linq Up to a Recipient or Host about a specific Plan after the Recipient or Host has provided a phone number and consented to receive messages about that Plan.
2. Eligibility
You must be at least 18 years old to create a Host account or use the full Service. You may not use the Service if you are prohibited from doing so under applicable law. By using the Service, you represent that you meet these requirements and that the information you provide is accurate.
You may not invite, collect information from, or coordinate with a person you know or reasonably believe to be under 13 years old through the Service. If a Recipient appears to be a minor, Linq Up may suspend coordination, delete related data, or take other appropriate action.
3. How the Service Works
- A Host selects a Recipient, activity, place, and possible time slots based on the Host's calendar or preferences.
- The Host sends a personal invitation link through the Host's device share sheet or another channel selected by the Host. The initial invitation is sent by the Host, not automatically by Linq Up.
- The Recipient opens the App Clip, website, or app to review the proposed Plan.
- The Recipient may accept the Plan, request a new time, request a new place or activity, decline, or ask Linq to coordinate.
- If the Recipient wants Linq to coordinate by SMS, the Recipient must provide a phone number and consent to receive messages about that specific Plan.
- The Recipient may optionally connect a calendar so Linq can help identify mutual availability. Calendar connection is optional unless a feature expressly requires it.
4. Host Responsibilities
As a Host, you are responsible for how you use the Service and for the Invitations you create or share. You agree that:
- you will use the Service only to coordinate genuine, specific, personal Plans with people you know or have a lawful reason to contact;
- you will not use Linq Up for marketing, recruiting, sales, political outreach, fundraising, surveys, promotions, lead generation, or bulk outreach;
- you will not use the Service to harass, threaten, stalk, intimidate, embarrass, deceive, pressure, or repeatedly contact anyone;
- you will not invite any person who has asked you, Linq Up, or another user not to contact them;
- you will not enter false information about a Recipient, Plan, time, place, relationship, consent status, or communication preference;
- you will comply with all applicable laws, rules, and platform policies when sharing an Invitation, including rules that apply to SMS, email, app messages, and privacy.
5. Recipient SMS Consent
Linq Up will not begin SMS Coordination with a Recipient solely because a Host sends an Invitation. Before Linq Up sends SMS messages to a Recipient, the Recipient must provide a phone number through the App Clip, website, or app and consent to receive SMS messages from Linq Up about that specific Plan.
By entering a phone number and selecting a coordination action such as "Let Linq Coordinate," "Looks good," "Send new time," "Send update," or similar language, the Recipient agrees to receive non-marketing SMS messages from Linq Up about the specific Plan shown in the App Clip, website, or app. Message frequency varies. Message and data rates may apply. Consent is not a condition of purchase. Reply STOP to opt out. Reply HELP for help.
Recipient consent is limited to the Plan presented to the Recipient, including scheduling options, changes, confirmations, reminders, and direct replies related to that Plan. Recipient consent does not authorize Linq Up or any Host to send marketing messages, promotional messages, unrelated invitations, bulk messages, or future unrelated texts unless the Recipient separately consents.
6. SMS, Push, and In-App Communications
Linq Up may send SMS, push notifications, email, or in-app messages to provide the Service, including scheduling options, confirmations, reminders, changes, opt-out confirmations, help responses, and service notices.
You can opt out of SMS by replying STOP. Linq Up will process opt-out requests promptly and may send one final message confirming the opt-out. You can request help by replying HELP. If you opt out, Linq Up may continue to send messages only if permitted by law, such as legally required notices or messages through channels for which you have not opted out.
Linq Up may apply quiet-hour logic, rate limits, abuse detection, suppression lists, and geographic rules to reduce unwanted messages and comply with applicable law. We may delay, suppress, or refuse to send messages that appear abusive, unlawful, high risk, or inconsistent with these Terms.
7. Calendar, Contacts, Location, and Device Permissions
The Service may request access to calendars, contacts, location, notifications, photos, or other device permissions. We request these permissions only to provide relevant features, such as helping a Host choose available times, showing contacts the Host selects, finding nearby places, attaching a profile photo, and sending reminders.
You may decline or revoke permissions through your device settings or account settings. Some features may not work without the required permission. You are responsible for ensuring that you have the right to share any information you provide or authorize us to access.
8. Prohibited Uses
You may not use the Service to:
- send spam, advertisements, marketing, commercial solicitation, or promotional content;
- send messages to strangers, purchased lists, scraped lists, or people who have not agreed to hear from you;
- send messages that are unlawful, defamatory, obscene, invasive of privacy, threatening, harassing, discriminatory, fraudulent, or otherwise harmful;
- coordinate illegal activities or unsafe meetings;
- circumvent opt-outs, suppression lists, consent screens, rate limits, quiet hours, or carrier rules;
- reverse engineer, scrape, overload, interfere with, or attempt unauthorized access to the Service;
- use the Service to collect sensitive personal information unless a feature specifically requires it and the other person knowingly provides it;
- misrepresent that Linq Up, the Host, or the Recipient has consented to any communication or action.
9. AI Coordination and User Responsibility
Linq Up uses automated systems and AI-assisted workflows to draft, route, and coordinate messages. Automated systems can make mistakes. You are responsible for reviewing Plans and ensuring that information you provide is accurate, lawful, and appropriate. Linq Up does not guarantee that a Plan will be scheduled, accepted, completed, safe, convenient, or available.
10. Third-Party Services
The Service may rely on third-party providers, including messaging providers, telecommunications carriers, cloud hosting providers, analytics providers, calendar providers, map providers, app stores, and payment processors. We are not responsible for third-party services, availability, rules, failures, delays, or charges. Your use of third-party services may be subject to their own terms and privacy policies.
11. User Content and License
You retain rights to content you submit, including names, messages, preferences, photos, locations, and calendar-related information. You grant Linq Up a non-exclusive, worldwide, royalty-free license to host, process, transmit, display, adapt, and use that content solely as needed to provide, secure, operate, improve, and support the Service, comply with law, and enforce these Terms.
You represent that you have all rights needed to provide the content you submit and that your content does not violate the rights of any person or entity.
12. Ownership
Outlier Labs and its licensors own all rights, title, and interest in and to the Service, including software, design, trademarks, logos, workflows, and related intellectual property. These Terms do not transfer any ownership rights to you. You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works based on the Service except as expressly permitted by us in writing.
13. Account Suspension and Termination
We may suspend or terminate your access to the Service at any time if we believe you violated these Terms, created legal or compliance risk, misused communications features, generated complaints, attempted to bypass safeguards, or used the Service in a way that could harm Linq Up, users, recipients, providers, carriers, or others.
You may stop using the Service at any time. You may request account deletion through the app or by contacting admin@outlierlabs.io. Certain records may be retained as described in our Privacy Policy, including compliance, security, fraud prevention, accounting, legal, and opt-out records.
14. Privacy
Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. By using the Service, you acknowledge the Privacy Policy. If a conflict exists between these Terms and the Privacy Policy regarding privacy practices, the Privacy Policy controls for that issue.
15. Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, Outlier Labs disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, and security.
Outlier Labs does not warrant that the Service will be uninterrupted, error-free, secure, or that messages will be delivered, received, read, or acted upon. Linq Up is not responsible for carrier filtering, mobile network issues, calendar provider issues, app store issues, venue availability, weather, transportation, or the actions or omissions of Hosts, Recipients, venues, or third parties.
16. Limitation of Liability
To the maximum extent permitted by law, Outlier Labs and its affiliates, officers, directors, employees, agents, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost goodwill, business interruption, personal injury, emotional distress, or costs of substitute services, arising out of or related to the Service.
To the maximum extent permitted by law, Outlier Labs' total liability for all claims relating to the Service will not exceed the greater of (a) amounts you paid to Outlier Labs for the Service in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.
17. Indemnification
You agree to defend, indemnify, and hold harmless Outlier Labs and its affiliates, officers, directors, employees, agents, service providers, and licensors from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
- your use or misuse of the Service;
- your Invitations, messages, content, or information you provide;
- your violation of these Terms or applicable law;
- your failure to obtain or accurately represent consent;
- your violation of another person's rights, including privacy, publicity, or communications rights.
18. Dispute Resolution, Arbitration, and Class Action Waiver
Please read this section carefully. It requires most disputes to be resolved through binding arbitration and limits the manner in which you can seek relief.
Before filing a claim, you and Outlier Labs agree to attempt to resolve the dispute informally by sending a written notice to admin@outlierlabs.io. The notice must describe the dispute and requested relief. If the dispute is not resolved within thirty days, either party may begin arbitration.
Except for disputes that qualify for small claims court, requests for injunctive relief, or claims that cannot be arbitrated under applicable law, disputes arising out of or relating to these Terms or the Service will be resolved by binding arbitration on an individual basis. You and Outlier Labs waive the right to a jury trial and the right to participate in a class action, class arbitration, private attorney general action, or representative action to the extent permitted by law.
The arbitration will be administered by a mutually agreed arbitration provider under its consumer arbitration rules. The arbitration may be conducted remotely or in a location determined by the arbitration provider's rules, unless applicable law requires otherwise or the parties agree otherwise. This section does not prevent you from contacting regulators or exercising statutory privacy rights.
19. Governing Law
These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-law rules, except where the laws of your jurisdiction require otherwise. Canadian users may have mandatory rights under Canadian federal or provincial law that these Terms do not limit.
20. Changes to the Service or Terms
We may update the Service and these Terms from time to time. If we make material changes, we will provide notice through the Service, by email, or by another reasonable method. The updated Terms will be effective when posted or as stated in the notice. Your continued use of the Service after the effective date means you accept the updated Terms.

22. SMS Program Terms (carrier disclosure)
This section preserves the CTIA / Twilio A2P 10DLC carrier-required disclosures for the Linq Up SMS program. The full public disclosure lives at SMS Program Terms.
Program name: Linq Up SMS Invites. When a Host initiates a Plan with a Recipient, Linq Up sends transactional SMS to that Recipient on the Host's behalf about that specific Plan (initial invite, time/place suggestions, confirmations, reminders, reschedules). No marketing or promotional content is sent.
Message frequency: typically 2-6 messages per planning thread.
Message and data rates may apply.
Opt out: recipients can reply STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT at any time to be immediately and permanently unsubscribed from all future Linq Up SMS to that number.

We do not share or sell mobile phone numbers, SMS opt-in data, or any consent records with third parties or affiliates for marketing or promotional purposes.
